1. Introduction

Welcome to Heartbeat ("we," "our," or "us"). By downloading, accessing, or using our mobile application, website, or other products or services (collectively, the "Services"), you agree to be bound by these Terms of Service.

2. Eligibility

You must be at least 18 years old to create an account on Heartbeat and use the Service. By creating an account and using the Service, you represent and warrant that:

  • You are at least 18 years old.
  • You are legally qualified to enter a binding contract with Heartbeat.
  • You are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country.
  • You are not on any list of individuals prohibited from conducting business with the United States.
  • You are not prohibited by law from using our services.
  • You have not have been convicted of or pled no contest to a felony or indictable offense (or crime of similar severity), a sex crime, or any crime involving violence.
  • You are not required to register as a sex offender with any state, federal or local sex offender registry.

3. Your Account

You are responsible for maintaining the confidentiality of your login credentials and are fully responsible for all activities that occur under your account. You agree to immediately notify Heartbeat of any unauthorized use, or suspected unauthorized use of your account or any other breach of security.

4. Content

You are solely responsible for the content that you post, upload, or display to others using the Services. You may not post, upload, or display to others any content that:

  • Is abusive, deceptive, pornographic, obscene, defamatory, slanderous, offensive, or otherwise inappropriate.
  • Promotes racism, bigotry, hatred, or physical harm of any kind.
  • Involves the transmission of "junk mail," "chain letters," or unsolicited mass mailing or "spamming."
  • Infringes upon or violates any third party's rights, including copyright, trademark, privacy, publicity, or other personal or proprietary rights.

5. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and disclose information about you.

6. Termination

We reserve the right to terminate or suspend your account at any time for any reason without notice. Upon termination, your right to use the Services will immediately cease.

7. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the changed terms on the Service or by other means. If you continue to use the Service after the changes take effect, you agree to the revised Terms.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. HEARTBEAT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

IN NO EVENT SHALL HEARTBEAT, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICE, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN.

10. Governing Law

These Terms shall be governed by the laws of the jurisdiction in which the Company is established, without regard to its conflict of law provisions.
